A $188 million asset-backed securities deal structured around bitcoin-collateralized loans has faced significant strain following bitcoin's 27% decline since mid-January, highlighting both the opportunities and challenges facing professionals in crypto-adjacent structured finance roles.
Early Stress Test for Emerging Asset Class
Jefferies has spent recent months marketing the bond issuance tied to loans from crypto lender Ledn to institutional investors, according to Wall Street Journal reporting. The structure packages one-year loans made to individuals who post bitcoin as collateral, with proceeds providing Ledn additional lending capital.
The bitcoin price drop triggered margin calls across the loan pool, forcing Ledn to liquidate approximately 25% of the loans backing the deal. The collateral mix shifted dramatically from $199 million in loans and $1 million cash to roughly $150 million in loans and $50 million in cash—transforming what was marketed as an interest-generating asset into a predominantly cash-backed structure.
Ratings and Risk Framework
S&P Global Ratings assigned ratings to the notes despite the disruption, with the deal scheduled to close February 18. The initial pool consisted of 5,441 fixed-rate loans to 2,914 borrowers, secured by approximately 4,079 bitcoin valued at $356.9 million at the cutoff date. The weighted-average loan-to-value ratio stood at 55.8%, with an average interest rate of 11.8%.
S&P applied conservative stress assumptions, including a 100% default rate at the 'A' stress level and a 79% default rate with 68% recovery for the BBB- class A tranche. The agency noted that Ledn's automated liquidation system has processed 7,493 loans over seven years without principal losses.
Key structural protections include overcollateralization, early amortization triggers, and a 5% liquidity reserve. Borrowers face margin calls when loans exceed 70% of collateral value, with automatic liquidation at 80%.
Implications for Crypto Finance Professionals
This transaction represents Wall Street's expanding interest in crypto-backed structured products, creating demand for professionals who understand both traditional fixed-income markets and digital asset risk management. Jefferies has been growing its structured finance and crypto advisory practices, including advising on Kraken's $1.5 billion acquisition of NinjaTrader last year.
The volatility test underscores the specialized expertise required to structure, rate, and manage these hybrid instruments—particularly around liquidation mechanics, collateral monitoring, and regulatory compliance in uncertain frameworks.
