Bitdeer Technologies experienced a significant stock decline after announcing a $300 million convertible senior notes offering, highlighting the ongoing tension between growth capital needs and shareholder dilution concerns in the bitcoin mining sector. The Singapore-based company, which operates both bitcoin mining and AI data center businesses, saw shares fall below $8 in pre-market trading—the lowest level since April.
Capital Raise Structure and Market Response
The private placement of convertible senior notes, due in 2032, targets institutional investors and includes a $45 million option that could bring total proceeds to $345 million. Noteholders will have the right to convert their debt into cash, Class A ordinary shares, or a combination, with the conversion method determined at Bitdeer's discretion.
The market's negative reaction reflects investor concerns about potential share dilution if the notes convert to equity. To mitigate this risk, Bitdeer plans to establish capped call transactions with financial institutions, though these hedging instruments can introduce additional price volatility.
In a concurrent move, the company initiated a registered direct offering of Class A shares to certain holders of its existing 2029 convertible notes. The pricing and share count for this offering remain undetermined.
Use of Proceeds and Strategic Direction
Bitdeer intends to allocate the capital primarily toward capped call transactions and repurchasing portions of its 2029 notes through private negotiations. Remaining funds will support data center expansion and growth in high-performance computing and AI cloud services, alongside continued development of ASIC-based mining equipment.
The financing comes as Bitdeer accelerates its diversification beyond traditional bitcoin mining. The company reported Q4 revenue of $224.8 million—a 226% year-over-year increase—and recorded a $70.5 million net profit, reversing a $531.9 million loss from the previous year. Mining operations produced 1,673 bitcoin during the quarter, supported by 71 exahash per second of managed hashrate.
