Framework Structure and Limitations

The proposed system allows third parties to issue tokens that track public company share prices without requiring company approval or participation. These tokens would trade continuously on decentralized platforms, operating beyond traditional market hours and settlement systems.

However, the framework introduces notable constraints. Tokenized shares would not include conventional shareholder rights—no voting privileges, dividend payments, or governance participation. Major financial infrastructure providers have already committed resources to tokenization initiatives. The Depository Trust & Clearing Corporation, which processes the majority of U.S. securities transactions, will begin limited production trading of tokenized assets in July, with full-scale operations planned for October.

Both Nasdaq and the New York Stock Exchange received SEC approval earlier this year for tokenized trading platforms. Nasdaq's March approval preserves traditional ownership rights, while NYSE's April clearance supports continuous onchain settlement through parent company Intercontinental Exchange.

Market data from RWA.xyz shows tokenized equities now represent $1.4 billion across more than 2,200 assets, growing approximately 30% in the past month. The holder base expanded 25% to roughly 265,000 participants, with monthly transfer volume reaching $3.24 billion.
